1. Acceptance of Terms
By accessing or using Ping Ledger ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the service.
2. Description of Service
Ping Ledger provides an automated accounting bridge that ingests transaction files delivered by email and synchronises them into your Xero ledger. The service includes per-client configuration, inbound email routing, CSV parsing, and record creation within connected accounting platforms.
3. Eligibility & Accounts
You must be authorised to connect accounting credentials on behalf of the business you represent. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use.
4. Acceptable Use
You agree not to:
- Use the service to process data you do not have the right to process.
- Submit content that is unlawful, infringing, or malicious.
- Attempt to disrupt, reverse-engineer, or compromise the service or its integrations.
- Resell or redistribute access without our written consent.
5. Third-Party Integrations
The service integrates with third-party platforms including Xero and email providers. We do not control these services and are not responsible for their availability, accuracy, or changes to their APIs. You are responsible for complying with the terms of any third-party service you connect.
6. Data & Processing
You retain all rights to the transaction data you submit. We process data solely to deliver the service as described in our Privacy Policy. We act as a data processor on your behalf with respect to records synced into your connected accounting platform.
7. Fees & Billing
Subscription fees, if any, are described on our pricing page or in your service agreement. Fees are billed in advance and are non-refundable except where required by law. We may change our fees with reasonable notice.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. Maintenance, updates, and third-party outages may cause temporary disruption. We are not liable for indirect losses arising from service downtime.
9. Termination
You may stop using the service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the service. Upon termination, your right to use the service ceases immediately.
10. Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the service. Our total liability is limited to the fees you paid in the twelve months preceding the claim.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the service or by email. Continued use after changes take effect constitutes acceptance of the revised Terms.
